These Terms of Service (the “Terms”) are a binding agreement between you and D3 Edge, LLC.(“D3 Edge, LLC”, “we”, “us”, or “our”), which operates coachspring at coachspring.co(the “Service”). By accessing or using the Service, registering for an account, or purchasing a workshop series or session, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
coachspring provides professional-development workshops, mentorship, and community resources for assistant coaches in Division III athletics. Workshops are typically delivered as scheduled online sessions. We may add, modify, suspend, or discontinue any part of the Service at any time.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your account credentials confidential, and for all activity that occurs under your account. Notify us promptly at jill@coachspring.co of any unauthorized use.
3. Purchases, billing, and subscriptions
Pricing for the Service is shown at the point of purchase. Current offerings include the Full series ($200 / 11 sessions) and a Single session ($30). Payments are processed by our third-party processor, Stripe, and by providing payment information you authorize us and Stripe to charge the applicable fees.
- Recurring billing. Where a purchase is sold as a subscription, you authorize recurring charges for each billing period until the subscription is cancelled. Subscriptions renew automatically unless cancelled before the next renewal.
- Cancellation. You may cancel a subscription at any time by contacting us at jill@coachspring.co. Cancellation stops future charges; it does not retroactively refund amounts already paid.
- Price changes. We may change prices and fees on a going-forward basis. We will provide reasonable notice of changes that affect an active subscription.
- Taxes. You are responsible for any applicable taxes not collected by us.
4. Refunds
Except where required by applicable law, all payments are non-refundable, including for sessions you are unable to attend or do not attend. Purchasing the workshop series does not guarantee attendance at every session.
5. Acceptable use and community conduct
Our community depends on a respectful, professional environment. You agree not to:
- Harass, threaten, demean, or discriminate against other participants, guests, or staff.
- Share access to your account, session links, or paid content with anyone who has not purchased access.
- Record, reproduce, distribute, or publicly share workshop sessions or materials without our prior written consent.
- Disrupt sessions, upload malicious code, or attempt to gain unauthorized access to the Service or other accounts.
- Use the Service for any unlawful purpose or in violation of these Terms.
We may remove content and suspend or terminate access for conduct that violates these Terms, without refund.
6. Intellectual property
The Service and all related content, including workshop materials, curricula, recordings, text, graphics, logos, and the coachspring name and branding, are owned by D3 Edge, LLC. or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the materials provided to you solely for your own professional development. All rights not expressly granted are reserved.
7. Your content and feedback
You retain ownership of content you submit (such as questions, comments, or materials shared during a session). You grant us a non-exclusive, worldwide, royalty-free license to use that content as needed to operate and improve the Service and to facilitate the workshops. If you provide feedback or suggestions, we may use them without restriction or obligation to you.
8. Workshop sessions and confidentiality
Workshops may include discussion of sensitive professional matters. We ask participants to treat others’ contributions as confidential and not to share them outside the community. We may record sessions for delivery to registered participants; by attending, you consent to such recording.
9. Third-party services
The Service relies on third-party providers, including Stripe for payments and video-conferencing platforms (such as Zoom) for sessions. Your use of those services is subject to their own terms and policies. We are not responsible for third-party services or their availability.
10. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We make no guarantee regarding career outcomes, employment, advancement, or any other specific result from participating in the Service.
11. Limitation of liability
To the fullest extent permitted by law, D3 Edge, LLC. and its owners, members, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the twelve (12) months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless D3 Edge, LLC.and its owners, members, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including intellectual-property, disclaimer, limitation-of-liability, and indemnification provisions) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in the Commonwealth of Massachusetts will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and material changes may be communicated through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
